We use necessary technologies to run the marketplace and optional technologies for analytics, marketing, and support experiences. You can accept all, keep only necessary technologies, or customize your choices.
These Terms of Service govern your access to and use of Wiroko websites, applications, messaging tools, checkout flows, vendor tools, and related services (collectively, the "Services"). These Terms form a binding agreement between you and Wiroko Technologies LLC ("Wiroko", "we", "us", or "our").
Wiroko is a multi-country marketplace. Wiroko Technologies LLC is the default buyer-side contracting entity unless a different Wiroko entity or local party is expressly identified in the relevant flow, invoice, contract, or addendum. Some products and services on the platform are offered by independent third-party vendors. Country-specific disclosures, checkout terms, seller policies, or local addenda may supplement these Terms for certain markets, products, or services. If mandatory local law gives you additional rights, or restricts any limitation in these Terms, that law will control to the extent required.
By accessing or using Wiroko, creating an account, placing an order, listing a product, sending a message, or otherwise using the Services, you agree to these Terms and to any policies or supplemental terms incorporated by reference.
If you do not agree, you must not use the Services.
Wiroko provides marketplace infrastructure, payment facilitation, logistics coordination, customer support, and related services that help buyers discover products, vendors manage listings, users communicate, and orders be coordinated.
Independent vendors generally contract directly with buyers for products sold through the platform unless a listing, checkout flow, invoice, or contract clearly states that Wiroko Technologies LLC is the seller or merchant of record. Independent vendors are responsible for the accuracy, legality, safety, quality, and fulfillment of their listings, as well as for warranties or representations they make directly to customers. Wiroko may moderate, review, suspend, remove, or restrict listings or vendors to protect users and the marketplace.
Submitting an order does not guarantee acceptance. Wiroko and the relevant vendor may review orders for stock, delivery feasibility, payment confirmation, compliance, and fraud prevention before final acceptance.
Estimated delivery dates, lead times, pickup windows, and shipping methods are estimates unless a specific timeline is expressly guaranteed. Furniture, made-to-order items, cross-border orders, and vendor-fulfilled products may have longer or variable timelines.
Where applicable law requires a notice, remedy, refund, or different timing standard for shipping delays, nondelivery, or order changes, those legal requirements will apply in addition to these Terms.
Eligibility for returns, exchanges, order changes, and refunds depends on the product category, condition, fulfillment stage, vendor policy, payment status, and applicable law. Some items, such as made-to-order, custom, perishable, hygiene-sensitive, clearance, or otherwise restricted items, may be non-returnable where law allows.
The applicable return or cancellation outcome may be described in the listing, checkout, support flow, seller policy, or refund workflow. If those materials conflict with mandatory local law, mandatory local law controls.
You may submit reviews, questions, ratings, messages, photos, design requests, support content, or other materials through the Services ("User Content"). You keep your ownership rights in your User Content, but you grant Wiroko a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt, publish, display, and use that User Content as needed to operate, improve, secure, market, and support the Services.
Wiroko and its licensors own the Services, including the platform design, software, trademarks, branding, text, graphics, and other protected materials, except for third-party content and User Content. These Terms do not transfer ownership of any Wiroko intellectual property to you.
You may not copy, distribute, modify, scrape, frame, commercially exploit, or create derivative works from the Services or Wiroko content except as expressly permitted by us or by law.
Wiroko may integrate with or link to third-party payment processors, logistics providers, support vendors, analytics tools, advertising platforms, authentication systems, or external websites. Those third parties operate under their own terms and privacy practices.
We are not responsible for third-party services except to the extent required by law or to the extent our own acts or omissions independently create liability.
We may suspend, restrict, remove, or terminate access to some or all Services, listings, messages, payouts, promotions, or accounts where we reasonably believe it is necessary to protect users, investigate misconduct, comply with law, address fraud or nonpayment, enforce these Terms, or preserve marketplace integrity.
You may stop using Wiroko at any time. Some obligations, including payment, dispute, intellectual property, compliance, and liability provisions, survive termination to the extent permitted by law.
Except where prohibited by law, the Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Wiroko disclaims warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and uninterrupted availability.
Nothing in these Terms excludes rights that cannot be excluded under applicable consumer protection law.
To the maximum extent permitted by law, Wiroko will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, reputation, or business opportunity arising from or related to the Services.
To the maximum extent permitted by law, Wiroko’s total aggregate liability for claims arising out of or relating to the Services will not exceed the greater of: (a) the amount you paid to Wiroko in connection with the specific transaction giving rise to the claim in the 12 months before the event giving rise to the claim; or (b) USD $100 or the equivalent in local currency.
These limitations apply only to the extent permitted by law and do not limit liability for matters that cannot legally be limited or excluded.
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Wiroko, its affiliates, officers, directors, employees, and agents from claims, losses, liabilities, costs, and expenses arising out of your unlawful conduct, infringement, misuse of the Services, breach of these Terms, or violation of another person’s rights.
This section applies only to the extent enforceable under applicable law and may apply differently to consumers and business users depending on local law.
Unless mandatory local consumer protection law requires otherwise, these Terms and disputes arising out of or relating to the Services are governed by the laws of the State of Ohio, United States, without regard to conflict-of-laws principles.
Before filing a formal claim, you agree to contact us and attempt in good faith to resolve the issue informally. If a dispute cannot be resolved informally, it will be brought before the state or federal courts in Ohio that have proper jurisdiction, unless mandatory law requires another forum.
We may update these Terms from time to time to reflect legal, operational, product, or marketplace changes. When we make material changes, we will update the last-updated date and provide additional notice where required.
Your continued use of the Services after the effective date of updated Terms means you accept the revised Terms, except where law requires a different notice or acceptance mechanism.
